Professional customers only

ShellOut is offered exclusively to legal entities and persons acting for purposes relating to their trade, business, craft or profession. The purchaser confirms that they are authorised to make the purchase and, when creating a new listing, to submit the listed company's name, website and logo. A supporter may add fuel to an existing public listing without representing that company.

The purchaser confirms that they are not purchasing as a consumer. Consumer withdrawal rights therefore do not ordinarily apply. If mandatory consumer-protection law nevertheless applies, those mandatory rights prevail.

Orders and immediate performance

The order becomes binding when Stripe confirms payment and DIGINOV accepts the submitted listing. Global fuel, paddock ranking, the 24-hour recent-boost spotlight and any selected trackside placement begin immediately after payment confirmation. DIGINOV may reject and refund a listing that cannot lawfully or technically be published.

Prices, taxes and invoices

Amounts selected on ShellOut are stated in US dollars and exclude applicable indirect taxes unless Stripe Checkout expressly states otherwise. Payment is due immediately using the methods offered by Stripe. Stripe Tax calculates VAT, sales tax or GST from DIGINOV's configured tax registrations, the Website Advertising service classification, the customer's billing location, business status and tax identifier. Where applicable, reverse-charge or other zero-tax treatment is shown at Checkout and on the invoice.

The customer must provide a complete and accurate legal name, billing address, email address and tax identifier. Taxes never increase leaderboard fuel. Currency-conversion or card-issuer fees may be charged independently by the customer's provider.

Stripe creates and sends the paid invoice to the billing email supplied at Checkout. A credit note or adjusted document is issued where a refund or tax correction requires one. No discount is granted for early payment. Any amount exceptionally remaining unpaid accrues, from the day after its due date and without prior notice, late interest at the European Central Bank refinancing rate plus ten percentage points, without falling below three times the French statutory interest rate, together with the statutory €40 recovery-cost indemnity applicable between professionals.

How the races work

“Fuel” means the net service amount accepted by DIGINOV, excluding VAT, sales tax, GST, payment-provider fees, currency-conversion costs and any amount later refunded, reversed or charged back. Companies are ranked globally by cumulative accepted fuel and simultaneously within their selected paddock category. A higher total ranks ahead. Participants and supporters can add any whole-dollar amount from $5 upward, including the exact difference required to pass another company.

Each listing selects one category when it joins. DIGINOV may correct a clearly erroneous or misleading category. The category does not create a separate balance: the same cumulative fuel determines both global and category positions.

There is no cumulative product-defined maximum: repeated boosts can increase lifetime fuel without a ShellOut ceiling. Stripe, payment-method providers, applicable law, sanctions, fraud-prevention and technical controls may limit, review or decline an individual transaction. A position is never guaranteed because another participant may later overtake it.

There is no scheduled reset, but fuel is reduced by refunds, reversals and lost disputes. “Permanent”, “lifetime” and “no reset” describe the ranking mechanic while ShellOut operates; they do not guarantee that the website will operate forever.

Trackside takeovers and boost spotlight

ShellOut offers a limited set of named trackside placements. The current owner's company name, logo and website link are displayed on the corresponding trackside card and inside the ShellCam 3D circuit. Visitors using the full-screen compatible experience may click the 3D billboard to open the owner's website. Rendering and interaction depend on the visitor's browser, device and WebGL support.

An unclaimed placement starts at the displayed minimum. Its normal takeover price is the next whole-dollar amount equal to at least 1.5 times the current owner's accepted bid. The full net service amount also becomes lifetime fuel for the selected startup.

The latest completed eligible payment owns the selected placement. Checkout freezes the offer displayed when the session is created: consequently, a later completion from a previously opened Checkout may replace the current owner at its earlier quoted level even if the live displayed takeover price has since changed. The replaced owner keeps its accepted lifetime fuel but loses the placement. A refund, reversal, lost dispute, removal or inactive listing may remove the placement and restore the latest eligible prior owner.

Each eligible completed payment also appears in the recent-boost spotlight for approximately twenty-four hours. Its position within that rail may move as newer payments arrive. DIGINOV does not guarantee a particular number of impressions or clicks.

Listings, race cards and links

Participants must provide a lawful business name, website and logo they are authorised to use. Each active startup may receive a public race card showing its positions, accepted fuel, trackside placements, recent fuel activity and recorded outbound clicks. Links are intended to be standard direct links, but ShellOut does not promise any search-engine result, traffic level, indexing treatment, customer acquisition or commercial return.

Your licence to ShellOut

By submitting a listing, the participant grants DIGINOV a non-exclusive, worldwide, royalty-free licence to host, resize and display the submitted name, logo, domain and description for operating and promoting the leaderboard. The participant keeps ownership of those materials.

Refunds and payment errors

Because ranking visibility starts immediately, purchases are final except for duplicate charges, a technical failure preventing the purchased fuel from being applied, a refund expressly approved by DIGINOV, or rights that cannot legally be excluded. Being overtaken or receiving less traffic than expected does not create a refund right.

Requests must be sent to [email protected] with the Stripe invoice reference. Approved refunds are returned through the original payment method. A full or partial refund removes the corresponding net fuel, proportionally for a partial refund; any related tax adjustment is reflected in Stripe's invoice or credit documentation. Fuel may be suspended while a refund is pending and restored if the refund fails.

Payment disputes and chargebacks

When a payment is disputed, DIGINOV may immediately suspend the corresponding fuel and, where necessary, the listing while the dispute is pending. If the disputed funds are reinstated, the suspended fuel is restored. If the dispute is accepted or lost, the corresponding net fuel is permanently removed. Each adjustment is applied once even if Stripe emits several events concerning the same refund or dispute.

Moderation and removal

DIGINOV may reject, pause or remove content that is illegal, misleading, infringing, malicious, unsafe, discriminatory, pornographic, spammy or technically harmful. Reasonable changes needed for security, law or service integrity may also be made. Removal for a participant's breach does not create a refund right, except where mandatory law requires otherwise.

Availability and liability

ShellOut is provided on a commercially reasonable basis and may experience maintenance, faults or changes. DIGINOV does not guarantee uninterrupted availability, a particular position for any duration, traffic, indexing, search-engine results or commercial return. Nothing excludes liability that cannot legally be excluded.

Changes to these terms

DIGINOV may update these terms prospectively for legal, security, technical or service changes. The terms displayed at the time of a purchase govern that purchase, except where a mandatory rule requires otherwise. Material changes will not retroactively reduce accepted fuel except through the refund, reversal, dispute or moderation rules stated here.

Governing law and disputes

These terms and each purchase are governed by French law. Before starting proceedings, the parties will attempt in good faith to resolve the dispute through [email protected] for thirty days. Where both parties contract as merchants, the Commercial Court of Toulouse has exclusive jurisdiction, including in cases involving multiple defendants or third-party proceedings, subject to mandatory law. In all other cases, jurisdiction is determined by the applicable procedural rules.
